Terms of Service
These terms cover the Clover setup, care and growth services sold by Clover Setup ("we", "us") and your use of this portal. By placing an order, paying a deposit or signing in, you agree to them. If you are agreeing for a business, you confirm you can sign for that business.
1. What we provide
We set up, support and help grow businesses that use Clover. All work is done remotely. We are an independent Clover partner. Clover hardware, Clover software plans, app fees, card processing and delivery app commissions come from those companies under their own agreements and are billed separately by them.
2. Orders and payment
- Setup packages. You pay 50% of the setup price as a deposit when you order. The other 50% is due at your go-live call.
- Setup upgrades (for example a restaurant website) are one-time charges due at your go-live call.
- Card fee. Card payments include a 4% convenience fee, shown before you pay.
- Authorization. By paying at checkout you authorize us to charge the card you provide for the deposit, and for the balance, upgrades and any monthly plans you chose, when they come due. If a charge fails, we will ask you to update your card and may pause work until it goes through.
- Prices are in US dollars, are the ones shown at checkout, and hold through December 31, 2026. Taxes are added where required.
3. Care plans and growth add-ons
- Care plans and growth add-ons are monthly subscriptions. Growth add-ons are $49 a month each, or $199 a month for all six.
- Billing starts at your go-live call and renews each month until you cancel. The Grow package includes Premium Care for its first 90 days; a plan you chose starts after that.
- Cancel anytime before your next billing date and you will not be charged again. Months already started are not refunded.
- Without a care plan, support is billed per issue at the rate in effect when you ask.
4. Refunds and cancellations
- First sale or refund. If you cannot ring your first sale on Clover because of something we built, we refund the setup fee you paid.
- Before your kickoff call, you can cancel and we will refund your deposit, minus the card fee.
- After your kickoff call our team has started building, so the deposit is not refundable, except under the first sale or refund promise above.
- If something looks wrong on a charge, contact us first. We will work it out with you quickly.
5. What we need from you
- Accurate business details, and the menu photos, staff list, logins and sign-offs we ask for, by the dates set at your kickoff call. Our timeline (about 12 business days from kickoff) depends on them.
- Anything physical on site: internet, power, cables and mounting. We walk you through it.
- Shipping both ways for pre-built hardware, and any website domain or hosting costs.
- Reviewing your setup before it ships. Nothing ships until you sign off.
6. Access to your accounts
To do the work we may need access to your Clover dashboard and related accounts. You keep ownership of your accounts and data. We use access only to deliver the services you bought, and you can remove it at any time (some services may stop working without it).
7. Other companies' services
Clover, payment processors, delivery apps, Google, Meta and other platforms are run by other companies. We are not responsible for their outages, fees, rules or changes, or for funding, deposits or chargebacks on your processing account.
8. Results
We do the work carefully, but we cannot promise specific sales, rankings, reviews, followers or other results from growth services.
9. Limits on our responsibility
Except for the first sale or refund promise, the services are provided as described, without other warranties, to the fullest extent the law allows. We are not liable for indirect or consequential losses, such as lost sales, lost profits, lost data or downtime. Our total responsibility for any claim is limited to the amount you paid us in the three months before the claim.
10. Your responsibility
You are responsible for your business, your prices and taxes, your menu and content, and how you use Clover. You agree to cover claims against us that come from those, or from information you gave us that was not accurate.
11. This portal
Keep your login private and tell us if you think someone else used it. We may suspend access that is misused. Information in the portal is a status view and can lag behind our team's records by a few minutes.
12. Changes and governing law
We may update these terms. The date at the top shows the latest version, and changes apply to orders placed after that date. These terms are governed by the laws of the Commonwealth of Pennsylvania.
13. Contact
Reply to any status email from us, or ask on your kickoff or go-live call. See also our Privacy Policy.
